Partner Program Terms & Conditions

1. Program Overview
The KOCOA Partner Program (the "Program") is operated by KOCOA, registered with the Dutch Chamber of Commerce (KVK) under number 68478054. The Program enables approved partners to earn commissions by referring customers to kocoa.nl. The Program is open to residents of the European Union who are at least 18 years of age. By submitting an application, you confirm that you meet these eligibility requirements. All applications are reviewed within 48 hours of submission. KOCOA reserves the right to accept or reject any application at its sole discretion, without obligation to disclose the reason for rejection.
2. Commission Structure
Partners earn a commission of 10% on net sales generated through their referrals. Net sales are defined as the gross order value minus any discounts, promotional reductions, or coupon adjustments applied at checkout. Shipping fees and applicable taxes (including VAT) are excluded from the commission calculation. The commission rate applies equally to first-time purchases and repeat purchases made by referred customers. Self-referrals are strictly prohibited: orders placed using the same email address as the partner account will not generate commission. KOCOA reserves the right to modify the commission rate at any time, provided that partners receive at least 30 days advance written notice of such changes.
3. Attribution & Tracking
Referrals are tracked using a 30-day cookie with last-click attribution. The Program supports dual attribution methods: personalised promo codes and unique referral links. When both a promo code and a referral link are present on the same order, the promo code takes priority for attribution purposes. The referral tracking cookie is only set when the customer has provided marketing cookie consent in accordance with applicable data protection regulations. Partners acknowledge that referrals may not be tracked if the customer declines marketing cookies, uses private browsing, or clears their cookies before completing a purchase.
4. Commission Lifecycle
Commissions progress through the following statuses: - Pending: Assigned upon order payment confirmation. The commission remains pending during the 30-day refund evaluation window. - Approved: Automatically approved after the 30-day refund window has elapsed without a full refund being issued. - Locked: The commission is locked when a payout batch is generated and can no longer be modified. - Paid: The commission has been disbursed to the partner. Full refunds trigger an automatic reversal of the associated commission. In the case of partial refunds, the commission is proportionally recalculated based on the remaining net order value.
5. Payouts
Payout batches are generated monthly, on or around the 15th of each month. A minimum payout threshold of EUR 50.00 applies. If the accumulated commission balance is below this threshold, the balance is carried forward to the next payout cycle. Partners should expect that payout completion may take up to 60 days from the date of the qualifying order: 30 days for the refund evaluation window, plus up to 30 days for payout processing and transfer. Payment is issued via bank transfer (IBAN) or Wise, as specified in the partner profile. Partners may choose between two invoicing methods: self-billing, whereby KOCOA issues a credit note (format: CN-YYYY-XXXX) on the partner's behalf, or partner invoicing, whereby the partner submits their own invoice for the payout amount.
6. Prohibited Conduct
The following activities are strictly prohibited and constitute grounds for immediate suspension or termination from the Program: - Sending unsolicited commercial communications (spam) to promote referral links or promo codes. - Cookie stuffing, click fraud, or any form of artificial inflation of referral metrics. - Placing pay-per-click (PPC) advertisements that bid on KOCOA brand keywords, including but not limited to "KOCOA", "InnerTIDE", "Dr.ROSA", and variations thereof. - Making false, misleading, or unsubstantiated claims about KOCOA products or the Program. - Violating EU cosmetic product regulations, including making prohibited therapeutic or medical claims. Partners must adhere to the KOCOA Claims & Compliance Guide. - Failing to include proper advertising disclosures as required by applicable consumer protection laws. Partners must follow the KOCOA Ad Disclosure Guide. - Modifying, distorting, or altering KOCOA trademarks, logos, or brand assets without prior written authorisation. - Registering KOCOA referral links or promo codes on unauthorised coupon aggregation or deal websites without express written permission from KOCOA.
7. Intellectual Property
KOCOA grants partners a limited, non-exclusive, revocable licence to use official KOCOA marketing materials, including banners, product images, and promotional assets provided through the partner dashboard or upon request. Partners may not modify, alter, or create derivative works of KOCOA logos or brand assets. The registration or use of domain names that incorporate KOCOA trademarks or confusingly similar variations (for example, kocoa-deals.com, innertide-shop.eu, or similar) is strictly prohibited without prior written consent from KOCOA.
8. Suspension & Termination
Either party may terminate participation in the Program at any time, for any reason, without prior notice. In the event of a suspected or confirmed violation of these Terms, KOCOA may immediately suspend the partner account and place a hold on all pending commissions. Suspension automatically deactivates any promo codes linked to the partner account. Following termination by either party (absent a violation), earned and approved commissions will be paid out within 30 days, subject to the minimum payout threshold. In cases of termination due to violation, KOCOA reserves the right to withhold all pending and approved commissions if fraudulent or abusive activity is substantiated.
9. Limitation of Liability
KOCOA is not responsible for any tax obligations arising from commission income earned through the Program. Partners are solely responsible for reporting and remitting any applicable taxes in their jurisdiction. KOCOA shall not be held liable for any indirect, incidental, consequential, or special damages arising from changes to the Program, commission rates, or these Terms. In no event shall KOCOA's total cumulative liability under these Terms exceed the total amount of commissions paid to the partner in the 12-month period immediately preceding the event giving rise to the claim.
10. Modifications
KOCOA reserves the right to modify these Terms at any time. Partners will be notified of material changes at least 30 days in advance via email or through a notification in the partner dashboard. Continued participation in the Program after the effective date of any modifications constitutes acceptance of the revised Terms. Partners who do not agree with the changes may terminate their participation before the changes take effect.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of the Netherlands. Any disputes arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the competent courts in Amsterdam, the Netherlands.
